AFFILIATE AGREEMENT

The following are the terms and conditions of participating in the LifeArt Affiliate Program. "Member" refers to yourself, and "LifeArt.cc" refers to us, LifeArt, a sole proprietorship /henna bodyart supply company.

LifeArt.cc reserves the right to modify this agreement as needed from time to time. LifeArt.cc recommends that you return periodically so that you are aware of any such changes or amendments.

Payments and Commissions: Each time you refer a new Visitor to LifeArt.cc, your account will be credited .05 cents. You can check your refer stats, modifiy your payment address, and view your payment history online 24/7.

Member commissions shall be paid by company check and sent out when your total commission reachs $25. Commission checks are automatically sent MONTHLY if your account balance is $25 or more.

Although the Member Program is not limited to the United States of America, all payments will be made in U.S. dollars.

All Members are NOT employees of LifeArt.cc and are responsible for their own local, state, or country taxes.

SPAM POLICY:

Member agrees to not utilize SPAM in promoting LifeArt.cc. This action will result in the immediate suspension or termination of your account with a cancellation of any pending commissions. Member will also be in violation of this Member Agreement and subject to legal action and be held liable for financial losses incurred by LifeArt.cc.

What is spam? Spam is emailing ANYONE, in bulk or by single mailing, about LifeArt.cc, who has not specifically requested the information directly from you.

The ONLY exception to this is mailing to APPROPRIATE OPT-IN mailing lists where the source does the mailing on your behalf. NOTE! Use extreme caution when choosing an opt-in mailing list company. Using anything but the most reputable sources will likely generate spam complaints against you resulting in suspension or termination.

LifeArt.cc also considers ANY type of advertisement about LifeArt.cc posted to a Newsgroup or Chat Room to be spam. This would include references to LifeArt.cc in your signature. This would also include Newsgroups or Chat Rooms that allow advertising.

Please note: LifeArt.cc does not necessarily agree with the harsh interpretation of what constitutes SPAM. Right now the Internet is in its infancy; as it matures and e-commerce expands, the spam issue will likely change drastically, perhaps even eventually fading away completely. However, until then, we must abide by current Internet rules and regulations. In order to maintain our image and protect the incomes of our Members, we must adhere to the strictest interpretation of SPAM. A LifeArt.cc Member who follow the rules have nothing to be concerned about.

All Member applications are subject to approval by LifeArt.cc.

Both LifeArt.cc and the Member reserve the right to terminate this agreement at any time. If canceled, outstanding commissions at time of cancellation shall be paid in the next payment so long as the rules of this agreement were not violated by the Member.

Only ONE Member will be allowed per household. hunza regularly performs database sweeps to locate violations of this policy. Accounts found to be in violation will be terminated without notice.

Referral Link: You will be issued a unique "Referral Link" which allows LifeArt.cc to identify visitors as originating from you. These visitors are tracked with this unique URL and commissions are recorded with your Member ID. To receive commissions, you must use the provided Referral Link. The URL may be in various forms such as a banner, image, or text link.

LifeArt.cc reserves all rights in or to its trademarks and servicemarks but may be used by Member in accordance with this agreement. Member may in no way display an LifeArt.cc logo, image, or trademark which may be distasteful, defame, or misrepresent.

Member shall not misrepresent LifeArt.cc products or services.

Member is solely responsible for insuring that their Referral Link is setup properly to qualify for commissions.

Term of agreement: This agreement remains in affect until cancelled by either party.

Disclaimers:

LifeArt.cc will make every reasonable effort to maintain 100% system uptime. However, LifeArt.cc is not responsible for technical problems, acts by third parties, or other events outside our reasonable control which may temporarily disrupt or diminish service.

LifeArt.cc will make every reasonable effort to track and pay commissions that apply to Member. However, LifeArt.cc is not responsible for technical problems, acts by third parties, or other events outside our reasonable control which may temporarily disrupt or diminish this service.

Privacy: LifeArt.cc will do all that it can to protect the privacy of its members. However, in the event that a member is suspected of spamming, or other illegal activites, or other activities in violation of LifeArt.cc policies, LifeArt.cc reserves the right to divulge member information.

Independent Contractor: The relationship between LifeArt.cc and Member established by this Agreement is that of independent contractors. LifeArt.cc and Member shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. Term "Member" shall not be interpreted as a legal partner or Member, simply as an independent contractor for LifeArt.cc under this agreement.

Limitation of Damages: LifeArt.cc shall not be held liable for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even if LifeArt.cc has been advised of the possibility of such damages. LifeArt.cc aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by LifeArt.cc under this agreement.

Member understands that Member tracking can never be 100% accurate and LifeArt.cc is not responsible for inaccuracies that might occur beyond its control. Tracking of Member sales depend on several factors, technical and otherwise, which are out of the control of LifeArt.cc. It is the goal of LifeArt.cc to make Member tracking as accurate as possible, however, LifeArt.cc cannot guarantee 100% tracking for situations beyond its control.

Warranty Disclaimer: LifeArt.cc makes no warranties expressed or implied with regard to Member Program except as outlined in this agreement.

Governing Law: This agreement shall be governed by the laws of the State of California and the United States.
